By accessing or using the Vertueal website at vertueal.com (the "Site") or engaging any of our digital infrastructure services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Site or our services.

These Terms apply to all visitors, clients, prospective clients, and any other parties who access or use the Site. Vertueal reserves the right to update or modify these Terms at any time without prior notice. Continued use of the Site following any changes constitutes acceptance of the revised Terms.

Vertueal provides digital infrastructure and growth operations services, including but not limited to: digital presence infrastructure, growth operations systems, communication infrastructure, AI and automation systems, commerce infrastructure, and enterprise operations software (collectively, "Services").

All Services are subject to separate written agreements, statements of work, or service agreements entered into between Vertueal and the client. These Terms govern general use of the Site and do not constitute a service agreement.

Vertueal reserves the right to modify, suspend, or discontinue any Service or aspect of the Site at any time without notice or liability.

You may use this Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable local, national, or international law or regulation.

• Transmit any unsolicited or unauthorised advertising or promotional material.

• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or that may harm Vertueal or other users.

• Attempt to gain unauthorised access to any part of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.

• Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.

• Scrape, crawl, or extract data from the Site using automated means without prior written consent from Vertueal.

All content on this Site — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software — is the property of Vertueal Inc. or its content suppliers and is protected by applicable intellectual property laws.

The Vertueal name, logo, and all related product and service names, design marks, and slogans are trademarks of Vertueal Inc. You may not use these marks without prior written permission from Vertueal.

Nothing in these Terms grants you a licence to use any intellectual property owned or controlled by Vertueal. Any unauthorised use of Vertueal's intellectual property is strictly prohibited.

Where clients provide content, data, materials, or instructions to Vertueal for the purpose of delivering Services, the client represents and warrants that they have the right to provide such content and that doing so does not infringe any third-party rights.

Vertueal will not be held liable for any content provided by clients. The client retains ownership of their own content and grants Vertueal a limited licence to use such content solely for the purpose of providing the agreed Services.

Both parties agree to keep confidential any proprietary or sensitive information disclosed in the course of engaging Vertueal's services. This includes business data, infrastructure configurations, technical specifications, pricing arrangements, and strategic information.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Detailed confidentiality terms will be set out in individual service agreements.

The Site and its content are provided on an "as is" and "as available" basis without any representations or warranties, express or implied. Vertueal makes no representations or warranties regarding the accuracy, completeness, or suitability of information on the Site.

Vertueal does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. You are responsible for implementing sufficient procedures and checkpoints to satisfy your requirements for accuracy of data input and output.

To the fullest extent permitted by law, Vertueal disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

To the maximum extent permitted by applicable law, Vertueal and its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses.

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Vertueal has been advised of the possibility of such damage.

In any event, Vertueal's aggregate liability to you for all claims arising out of or relating to the Site or these Terms shall not exceed the amount paid by you to Vertueal in the twelve (12) months preceding the claim.

The Site may contain links to third-party websites or services that are not owned or controlled by Vertueal. Vertueal has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites.

We encourage you to review the terms and privacy policies of any third-party sites you visit. The inclusion of any link does not imply endorsement by Vertueal.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of information as described in our Privacy Policy.

We collect only the information necessary to provide our services and respond to your enquiries. We do not sell personal information to third parties.

Payment terms for Vertueal's Services will be set out in individual service agreements or statements of work. Unless otherwise agreed in writing, invoices are due within the period specified on the invoice.

Vertueal reserves the right to suspend Services for accounts with outstanding overdue balances. Late payments may be subject to interest charges as specified in the applicable service agreement.

All fees are exclusive of applicable taxes unless otherwise stated.

Vertueal reserves the right to terminate or suspend access to the Site and any associated services, without prior notice or liability, for any reason including, without limitation, breach of these Terms.

Upon termination of a service engagement, provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa. Where Vertueal operates in other jurisdictions, applicable local laws may also apply.

Vertueal reserves the right to revise and update these Terms at any time at our sole discretion. All changes are effective immediately upon posting to the Site.

Your continued use of the Site following the posting of revised Terms means you accept and agree to the changes. You are expected to check this page each time you access the Site so you are aware of any changes.
